By accessing or using the Site, submitting any content, or creating an account, you ("User," "you," or "your") agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Site.

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS, INCLUDING LIMITATIONS ON LIABILITY AND A BINDING ARBITRATION CLAUSE.

2.2 License Grant

By submitting User Content to the Site, you grant HotelTechReviews.com a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, non-exclusive, transferable, sublicensable (through multiple tiers) license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, and otherwise exploit your User Content in any form, medium, or technology now known or hereafter developed, for any purpose whatsoever, including but not limited to:

• Displaying User Content on the Site and in any related applications, widgets, or services;
• Aggregating, compiling, analyzing, and creating derivative works from User Content, including summaries, reports, benchmarks, rankings, and statistical analyses;
• Licensing, selling, or otherwise providing access to User Content (individually or in aggregate) to third parties, including but not limited to hotel technology vendors, industry analysts, researchers, investors, and media organizations;
• Creating and distributing embeddable widgets, badges, APIs, data feeds, or other tools that incorporate or display User Content;
• Using User Content for marketing, advertising, and promotional purposes for the Site or any related service;
• Training, developing, or improving artificial intelligence models, machine learning systems, algorithms, or other automated tools or technologies;
• Incorporating User Content into products, services, reports, or publications created by or on behalf of the Company;
• Any other commercial or non-commercial purpose at the Company's sole discretion.

2.3 No Compensation

You acknowledge and agree that you are not entitled to any compensation, credit, or payment for any use of your User Content by the Company, its licensees, assignees, or successors, regardless of the purpose or commercial value derived from such use.

2.4 Ownership of Compilations and Derivative Works

HotelTechReviews.com owns all rights, title, and interest in and to any compilations, databases, aggregate datasets, derivative works, analyses, reports, rankings, summaries, indices, or other materials created from or incorporating User Content ("Derivative Works"). This ownership exists independently of and in addition to the license granted above.

2.5 Moral Rights Waiver

To the fullest extent permitted by applicable law, you irrevocably waive and agree not to assert any moral rights (including rights of attribution and integrity) that you may have in your User Content.

3. Data Collection and Use

3.1 Information We Collect

In addition to User Content, we collect information you provide directly (such as your name, email address, job title, company name, and country) and information collected automatically through your use of the Site (such as IP address, browser type, device information, and usage data).

3.2 Commercial Use of Data

You acknowledge and agree that Company may use, sell, license, or otherwise commercialize aggregated, anonymized, or de-identified data derived from User Content and user information for any purpose, including sale to third parties, without restriction and without compensation to you.

3.3 Email Verification

We verify reviewer identity through work email domain validation and may implement additional verification methods in the future. By providing your work email, you consent to this verification process.

4. Your Representations and Warranties

By submitting User Content, you represent and warrant that:

• You are the sole author and owner of the User Content, or you have all necessary rights, licenses, consents, and permissions to grant the rights granted herein;
• Your User Content is accurate, truthful, and based on your genuine experience;
• Your User Content does not infringe any intellectual property rights, privacy rights, publicity rights, or other rights of any third party;
• Your User Content does not violate any applicable law or regulation;
• You are not submitting User Content in exchange for any compensation, incentive, or benefit from any vendor or third party;
• You have authority to bind yourself and, if applicable, your employer to these Terms.

5. Prohibited Conduct

You agree not to:

• Submit false, misleading, or fraudulent reviews or information;
• Submit reviews for products or services you have not personally used in a professional capacity;
• Submit reviews on behalf of or at the direction of a vendor;
• Attempt to manipulate ratings, rankings, or reviews;
• Use the Site to harass, defame, or threaten any person or entity;
• Scrape, crawl, or use automated tools to extract data from the Site without prior written permission;
• Interfere with or disrupt the Site's functionality or infrastructure;
• Circumvent email verification or any other security measures;
• Use the Site for any unlawful purpose.

6. Moderation and Content Removal

Company reserves the right, but has no obligation, to review, moderate, edit, or remove any User Content at its sole discretion, for any reason or no reason, without notice. Decisions regarding content moderation are final and not subject to appeal.

7. Transfer and Assignment

These Terms, including all rights and licenses granted herein, are fully assignable and transferable by HotelTechReviews.com without restriction and without notice to or consent from you. In the event of a merger, acquisition, sale of assets, or other change of control, all rights granted under these Terms shall automatically transfer to the successor entity. You may not assign or transfer your rights or obligations under these Terms without the prior written consent of the Company.

8. Intellectual Property

All content, features, and functionality of the Site (excluding User Content), including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the overall design and arrangement thereof, are owned by HotelTechReviews.com or its licensors and are protected by copyright, trademark, and other intellectual property laws.

9. Disclaimer of Warranties

THE SITE AND ALL CONTENT, MATERIALS, AND SERVICES PROVIDED THROUGH THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. COMPANY DOES NOT WARRANT THAT USER CONTENT IS ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COMPANY, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, REGARDLESS OF THE THEORY OF LIABILITY. COMPANY'S TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Company and its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of any third party.

12. Dispute Resolution and Arbitration

Any dispute arising out of or relating to these Terms or the Site shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the State of Delaware, and judgment on the award may be entered in any court of competent jurisdiction. YOU WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

14. Changes to Terms

Company reserves the right to modify these Terms at any time. Material changes will be posted on the Site with an updated effective date. Your continued use of the Site after such changes constitutes acceptance of the modified Terms.

15. Termination

Company may terminate or suspend your access to the Site at any time, for any reason, without notice. Upon termination, all licenses and rights granted to you under these Terms will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to the license grant in Section 2, ownership provisions in Section 2.4, limitation of liability, indemnification, and dispute resolution.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with any Privacy Policy posted on the Site, constitute the entire agreement between you and the Company regarding your use of the Site and supersede all prior agreements and understandings.
